The basic rules for using this site
These terms describe, in plain English, how you can use S-Corp Pay Planner — the site, the free calculator, accounts, and any future paid features. Nothing tricky, no fine print buried in legal jargon.

Who you're contracting with
Seller and product
S-Corp Pay Planner is provided by Rustambek Abdualimov (the “seller”), a solo software provider. By using the website, the free calculator, or the signed-in application, you agree to these Terms of Service. For questions, contact scorpwise2@gmail.com.
S-Corp Pay Planner is a web-based planning tool for solo S-corporation owners. It helps you organize estimates around owner salary vs. distributions, federal tax reserves, and quarterly deadlines. It is not payroll software, a tax filing service, a bookkeeping service, or a replacement for a CPA, tax advisor, payroll provider, or attorney.

Eligibility and account responsibilities
Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) and have the legal authority to agree to these terms. If you use the service on behalf of a business, you confirm you are authorized to bind that business.
Free use without an account
The public site and free calculator can be used without creating an account.
Account credentials
You are responsible for keeping your sign-in credentials confidential and for activity that occurs under your account. Please notify us at scorpwise2@gmail.com if you suspect unauthorized use.
Accurate information
You agree to provide accurate account and billing information and to keep it up to date.
Acceptable use
What you may not do
To keep the service safe and reliable for everyone, you agree not to:
Misuse the service
Use the site or calculator in deceptive, harmful, or abusive ways.
Attempt unauthorized access
Try to access accounts, data, or systems you are not authorized to access.
Interfere with operation
Disrupt, overload, probe, scan, or otherwise interfere with normal operation of the service.
Infringe IP
Use the service to infringe on the intellectual property or other rights of any third party.
Use it for fraud or unlawful activity
Use the planner as part of fraud, abuse, money laundering, or any unlawful activity.
Reverse engineer or scrape abusively
Beyond normal lawful use, do not copy, reverse engineer, or scrape the service in ways that exceed what is reasonable.
Subscriptions & billing
Paid plans, billing, and Merchant of Record
Paid plans are billed through Paddle. Paddle.com Market Limited acts as the Merchant of Record for purchases of paid plans, which means Paddle is the seller of record for the transaction and handles checkout, payment processing, subscription billing, sales tax / VAT, invoicing, and buyer billing support.
Plans and pricing
Pricing for Monthly and Yearly plans is shown on the pricing page before purchase. Taxes may be added at checkout based on your location, calculated and remitted by Paddle.
Monthly plans
Monthly subscriptions are billed monthly in advance and renew automatically each month until canceled.
Yearly plans
Yearly subscriptions are billed once per year in advance and renew automatically each year until canceled.
Automatic renewal
All recurring subscriptions renew automatically at the end of each billing period using the payment method on file, until you cancel. You authorize Paddle to charge the applicable fees on each renewal.
Cancellation
You can cancel a subscription at any time from the billing portal linked inside the app. Cancellation stops future renewals; it does not by itself trigger a refund of the current paid period.
After cancellation
When you cancel, your Pro access remains active until the end of the current paid period. After that, your account reverts to the free tier and you keep access to your saved data, but Pro-only features will be disabled.
Plan changes
You can change between Monthly and Yearly. Switching from Monthly to Yearly may apply proration through Paddle. Switching from Yearly to Monthly does not automatically refund unused yearly time; the yearly plan remains active through the end of the paid term and the new plan takes effect at the next renewal.
Refunds
Refund handling is described in our Refund Policy. Refund requests can be made within 14 days of the initial purchase by emailing scorpwise2@gmail.com. Paddle handles refund processing as Merchant of Record.
Failed payments
If a renewal payment fails, Paddle may retry the charge. If payment cannot be collected, Pro access may be suspended until the subscription is brought current.
Paddle's Buyer Terms (paddle.com/legal/checkout-buyer-terms) also apply to your purchase. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns related to payments.
Planning tool disclaimer
The calculator is a planning tool, not advice
S-Corp Pay Planner is provided for planning and educational purposes only. Outputs from the calculator are simplified estimates designed to help you think through salary, distributions, tax reserves, and deadlines.
S-Corp Pay Planner is not tax, payroll, legal, or accounting advice, does not certify any specific salary as legally “reasonable,” and does not replace advice from a CPA, tax advisor, payroll provider, or attorney. You remain responsible for your final compensation, tax, payroll, filing, and compliance decisions.
Intellectual property
What belongs to the service
The product, branding, design, copy, and original site content of S-Corp Pay Planner belong to Rustambek Abdualimov. You receive a limited, non-exclusive, non-transferable right to use the service for normal personal or business planning use within the plan you are on.
You may not copy, resell, redistribute, sublicense, rebrand, or reverse engineer the service, and you may not misrepresent S-Corp Pay Planner or its outputs as your own product or as professional advice.
Service availability
The product will keep evolving
S-Corp Pay Planner is an evolving product. Features may be added, changed, paused, or removed over time as the product improves. No guarantee is made that the service will always be uninterrupted or completely error-free; from time to time things may be down for maintenance, updates, or issues outside of normal operation.
Suspension & termination
Suspension or termination of access
Access to the service may be suspended or terminated for: material breach of these terms, non-payment, security or fraud risk, or repeated or serious policy violations. You can stop using the service at any time and request that your account be closed by emailing scorpwise2@gmail.com.
On termination, your right to use the service ends. Where applicable, we will give you a reasonable opportunity to export your saved scenarios before deletion.
Limits in plain English
Disclaimers and limitation of liability
The service is provided “as is” and “as available.” To the fullest extent permitted by law, all implied warranties (including merchantability, fitness for a particular purpose, and non-infringement) are disclaimed.
To the fullest extent permitted by law, Rustambek Abdualimov will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunities, arising out of or related to your use of the service. Total aggregate liability for any claim relating to the service is limited to the amount you paid for the service in the twelve months immediately before the event giving rise to the claim, or USD 50, whichever is greater.
Nothing in these terms excludes liability that cannot be excluded under applicable law (for example, fraud, death, or personal injury caused by negligence).
General
Governing law and updates
These terms are governed by the laws applicable to the seller's place of residence, except where mandatory local consumer law in your country provides otherwise. Disputes will be resolved in the courts of competent jurisdiction at the seller's location, except where mandatory local law gives you the right to bring a claim where you live.
These terms may be updated as the product or applicable laws change. The current version is always posted on this page, and material changes will be highlighted on the site.
